Production Terms and Conditions

1. Agreement Overview

By engaging with Visuals by Momo LLC (hereafter "VBM") for any video production or photography services, you, as the Client, are agreeing to be bound by the following terms and conditions. These terms may only be amended by written agreement between both parties. Any payment made to VBM constitutes full acceptance of these terms.

2. Photography & Copyright

All photographs and videos produced by VBM are protected under the 1988 Copyright Act, and VBM retains ownership of all copyrights. Any reproduction or distribution of this content without VBM's consent is prohibited.

3. Raw Footage

VBM does not release raw footage unless specifically negotiated. Any request for raw footage will incur additional fees based on VBM’s rates and market value. Clients are not permitted to edit or alter the footage provided without VBM’s consent.

4. Payments
  • Deposits: A non-refundable deposit of 50% or a minimum of $1,200 is required to secure services.

  • Final Payments: The remaining balance must be paid within seven (7) days after the first day of filming to begin the editing process.

  • Accepted Payment Methods: Payments can be made via credit card (3% fee), debit card, Venmo, cashier’s checks, or personal/business checks.

  • Budget Adjustments: Any additional costs exceeding the estimated budget will require client approval before proceeding.

5. Exclusivity

VBM serves as the exclusive service provider for your project. Engaging another service provider for similar services during the project may result in immediate contract termination without refund.

6. Copyright Ownership

VBM retains full ownership of all video content produced, including raw footage. Upon project completion and final payment, Clients receive a non-transferable license to use the final video product for promotional and commercial purposes.

7. Portfolio Rights

VBM reserves the right to use your video or photographs for promotional purposes on its website, social media platforms, or other advertising channels, unless otherwise agreed in writing.

8. Behind-the-Scenes Footage

VBM may capture and use behind-the-scenes footage for marketing purposes. Clients are granted a limited, non-exclusive license to use such footage, but may not transfer or modify it without VBM’s consent.

9. Artistic Release

Clients understand that VBM will execute the project based on their established style and portfolio. While client input is considered, final creative control rests with VBM.

10. Revisions & Approvals

Clients have one opportunity for revisions using VBM's designated review platform (Frame.io). Additional revisions beyond the initial scope may incur extra charges.

11. Liability Limitation

In the case of a dispute, VBM’s maximum liability is limited to the total cost of services provided. VBM is not responsible for consequential damages or lost profits.

12. Cancellation & Rescheduling

Clients must provide at least 14 days' written notice for any cancellations or rescheduling. Failure to provide sufficient notice may result in forfeiture of deposits.

13. Force Majeure

Neither party shall be held responsible for delays or non-performance due to unforeseen events beyond their control, such as natural disasters, pandemics, or government actions.

14. Working Conditions

VBM reserves the right to terminate services if unsafe working conditions or unprofessional behavior arise during the project. In such cases, VBM will retain all deposits and payments made.

15. Insurance

VBM maintains liability and equipment insurance for all video production services. However, this insurance does not cover the Client’s property or personnel.

16. General Terms
  • Governing Law: This agreement is governed by the laws of Florida.

  • Severability: If any part of this agreement is deemed invalid, the remaining provisions shall remain in effect.

  • Amendments: These terms can only be amended through written agreement by both parties.
